Terms of Service

1. Acceptance

These Terms of Service govern your use of the website located at www.servicesbyhero.com (the "Site"), operated by Services By HERO ("we," "us," or "our"). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, do not use the Site.

If you are using the Site on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. The Site and Our Services

The Site provides information about our commercial cleaning and facility services, and includes contact and quote-request forms. Submitting a form on the Site does not create a contract for services. A binding contract is created only upon execution of a written agreement (Master Services Agreement, Statement of Work, or similar) signed by both parties.

Information on the Site is provided for general purposes. Pricing displayed on the Site, if any, is illustrative. Actual pricing is established by written quote.

3. Use of the Site

You agree to use the Site only for lawful purposes and in a manner that does not violate the rights of others. You will not:

  • Attempt to gain unauthorized access to any part of the Site, our servers, or any connected systems
  • Use the Site to transmit malware, viruses, or any other code designed to disrupt or damage
  • Submit false, misleading, or fraudulent information through forms or other interactive features
  • Scrape, harvest, or extract information from the Site by automated means without our prior written consent
  • Use the Site or any content from it for any commercial purpose other than evaluating our services
  • Reproduce, distribute, modify, or create derivative works from any content on the Site beyond what is permitted under Section 5

4. Form Submissions

When you submit a form on the Site (quote request, newsletter subscription, contact form), you represent that the information you provide is accurate and that you are authorized to provide it. Form submissions are processed by Formspree, our form-handling provider. By submitting a form, you consent to the transmission of your information to our authorized representatives for the purpose stated in the form. See our Privacy Policy for details.

5. Intellectual Property

All content on the Site, including text, graphics, logos, images, video, audio, software, and the overall design and layout (collectively, the "Content"), is the property of Services By HERO or its licensors and is protected by copyright, trademark, and other intellectual property laws.

The Services By HERO name and logo are trademarks of Services By HERO. The Shiield name and logo are trademarks of Shiield Eco-Safe Environmental Solutions, used here under license as a certified partner. Other product and service names referenced on the Site are trademarks of their respective owners.

You are granted a limited, non-exclusive, non-transferable license to view and download the Content for personal, non-commercial review of our services. Any other use requires our prior written permission.

6. Third-Party Content and Links

The Site may include links to third-party websites, embedded content from third parties, or references to third-party products and services (for example, our Google Business Profile, the Shiield partner site). We do not control these third parties and are not responsible for their content, accuracy, or practices. Inclusion of a link or reference is not an endorsement.

7. Disclaimers

THE SITE AND ALL CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

Statements on the Site about our services (including service descriptions, response times, certifications, and protocols) reflect our typical practice. The actual terms of any service engagement are set forth in the written agreement between the parties.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL SERVICES BY HERO, ITS AFFILIATES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SITE OR THESE TERMS, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY UNDER THESE TERMS, REGARDLESS OF THE FORM OF ACTION, WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100). Some jurisdictions do not allow exclusion or limitation of certain damages. In those jurisdictions, our liability is limited to the smallest extent permitted by law.

Nothing in these Terms limits liability for: (a) fraud or fraudulent misrepresentation; (b) death or personal injury caused by negligence; or (c) any liability that cannot be excluded by law.

9. Indemnification

You agree to defend, indemnify, and hold harmless Services By HERO and its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including reasonable attorneys' fees) arising from: (a) your use of and access to the Site; (b) your violation of these Terms; (c) your violation of any third-party right; or (d) any claim that information you submitted through the Site caused damage to a third party.

10. Governing Law and Venue

These Terms are governed by the laws of the State of California, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in El Dorado County, California, and you consent to the personal jurisdiction of those courts.

11. Changes to These Terms

We may modify these Terms from time to time. When we make material changes, we will post the updated Terms at this URL with a revised "Last updated" date. Your continued use of the Site after a change constitutes acceptance of the modified Terms. If you do not agree with a modification, you should stop using the Site.

12. Termination

We may suspend or terminate your access to the Site at any time, without notice, for any reason or no reason, including if we reasonably believe you have violated these Terms. Sections that by their nature should survive termination (including ownership provisions, warranty disclaimers, indemnification, limitations of liability, and governing law) will survive.

13. Severability and Waiver

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force. Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.

14. Entire Agreement

These Terms, together with our Privacy Policy and any separate written agreement governing a specific service engagement, constitute the entire agreement between you and Services By HERO regarding the Site. Any oral statements or representations not included in these Terms have no force or effect.
